Minudoc platform Terms of Service

These user terms and conditions (hereinafter the “Terms”) regulate the legal relationship between Minudoc OÜ (registry code 14630213, address Vana-Lõuna 39/1, Tallinn 10134, Estonia; hereinafter “Minudoc”) and the person using the Minudoc platform. By creating a user account on the Platform, the Client (as defined in section 1) confirms that they have read, understood, and agree to comply with the Terms.

Definitions
“Platform”
The software environment (SaaS) managed by Minudoc, which enables Clients to find and use Services offered by HSPs and enables HSPs to provide Services to Clients.
“Client”
A natural person who has created a User Account on the Platform.
“User Account”
The Client's personal account on the Platform, created upon first login and authentication.
“HSP (Healthcare and/or Health Service Provider)”
A legal or natural person who independently offers healthcare and/or health services through the Platform.
“Service”
A healthcare or health service provided by the HSP to the Client (e.g., remote consultation).
“Service Provision Agreement”
The agreement concluded between the Client and the HSP through the Platform for the provision of the Service, the terms of which are established by the HSP.
“Agreement”
The agreement concluded between Minudoc and the Client for the use of the Platform, of which these Terms form an integral part.
“Personal Data”
Any information relating to an identified or identifiable natural person (the Client).
“Privacy Notice”
A document explaining how Minudoc processes the Client's Personal Data. The Privacy Notice is available on the Platform.

General Legal Framework

The Platform enables the Client to order Services from an HSP and arrange for the provision of Services to the Client by the HSP.

To provide the Service through the Platform, the Client and the HSP conclude a Service Provision Agreement between themselves. The Service Provision Agreement between the HSP and the Client is considered concluded from the moment the Client has accepted the HSP's service terms (user terms) on the Platform.

In managing the Platform, Minudoc acts as a provider of information society services and is not a party to the Service Provision Agreement between the HSP and the Client. Minudoc is not the Service Provider and is not responsible in any way for the performance of the Service Provision Agreement.

In managing the Platform, Minudoc acts as the HSP's agent in mediating the provision of the Service and the agreement to be concluded for it between the HSP and the Client. Each HSP has authorised Minudoc as their agent to receive payments from Clients on behalf of the respective principal.

Agreement Between Minudoc and the Client

The Agreement between Minudoc and the Client is considered concluded from the moment the Client has created a User Account on the Platform, identifying themselves with a secure authentication tool (ID-card, Mobile-ID, Smart-ID) and has accepted these Terms.

By accepting the Terms, the Client confirms that they have read and understood our Privacy Notice.

Minudoc reserves the right to make changes to the Terms at any time by uploading the modified Terms to the Platform and notifying the Client via the email address the Client provided when creating the user account.

The Agreement is valid indefinitely until its termination in accordance with the procedure set out in the Terms.

Client's Rights and Obligations

The Client has the right to use the Platform in accordance with its functionality and the Terms; browse HSP profiles, book appointments and pay for Services through the Platform, and manage their User Account and the data contained therein.

The Client undertakes to:
(i) provide true and up-to-date data when creating a User Account and keep it up-to-date;
(ii) use the Platform in good faith, in accordance with the Terms and applicable laws;
(iii) keep their User Account login details secure and not share them with third parties. -
The Client undertakes not to use the Platform to:
(i) use automated systems (e.g., scripts, bots) to collect data from the Platform (data mining);
(ii) submit false data about themselves or the person they represent;
(iii) upload malware, viruses or other harmful code to the Platform;
(iv) engage in activity that interferes with or excessively burdens the Platform's infrastructure.

Ordering, Payment and Cancellation of Services on the Platform

To order a Service, the Client selects a suitable Service and HSP from the Platform, accepts the HSP's terms, books a time for the provision of the Service, and pays for the Service.

Under these Terms, it is only possible to order a Service from Minudoc for the Client themselves. A Service can be ordered for a person with limited legal capacity for whom the Client is the legal representative, but the Client must also be present during the provision of the Service in such a case. If a person with limited legal capacity independently orders a Service, or the Client orders a service for a person with limited legal capacity but the Client themselves is not present during the provision of the Service, Minudoc has the right to refuse to provide the Intermediary Service upon identifying such a situation. In such a case, Minudoc is not obliged to refund the amount paid by the Client for the Service.

The Client pays for the ordered Services according to the HSP's price list presented on the Platform. The HSP providing the Service may change the price list from time to time. When paying for the Service, the version of the price list that is valid at the time the specific Service is ordered shall apply. The Service is provided based on the price list that was paid for at the time of ordering the Service.

The Client can pay for the Service using a bank link or from the Platform's virtual account.

The Client pays for the Service to Minudoc through the Platform. By doing so, the Client understands and accepts that Minudoc acts as the HSP's agent when receiving payment for the Service. The Client's payment obligations to the HSP arising from the Service Provision Agreement are considered fulfilled when the Client's payment to Minudoc has been completed and debited from the Client's bank account.

Minudoc, acting as the HSP's agent, draws up and issues informative receipts to the Client on behalf of the HSP for the price of the Service and accepts the Client's payments for the receipts on behalf of the HSP.

If the Client's employer pays on their behalf, the fee is automatically taken from the company's virtual account. If the company's virtual account does not have sufficient funds, it is possible to pay for the Service partially through the company's account and the other part from the Client's personal account.

The Client may change or cancel the booked time no later than 24 hours before the agreed time, by doing so through their User Account.

The prepayment for a properly cancelled booking will be refunded to the Client's virtual account. If the booking is cancelled later than 24 hours before the Service or the Client does not show up, Minudoc has the right not to refund the prepayment.

If the Service is not provided at the booked time due to the fault of the HSP, the prepaid fee will be refunded in full to the Client's virtual account.

License and Intellectual Property

Minudoc grants the Client a limited, non-exclusive, non-sublicensable simple license to use the Platform for the purposes of ordering the Service in accordance with these Terms.

All intellectual property rights related to the software, documents, or information used or developed by Minudoc during the provision of services under the Terms (including the Platform and materials uploaded to it) belong to Minudoc or, in certain cases, to the HSP to a limited extent. The Client is prohibited from copying, modifying, adapting, reverse-engineering, decompiling, or otherwise identifying the source code of the Platform's software, or extracting or using any Platform data for commercial purposes or for any purpose other than ordering the Service.

Feedback and User-Generated Content

The Client may provide ratings and written feedback (hereinafter “Content”) on the Service provided by the HSP through the Platform.

The Client is fully responsible for the Content they create and confirms that it is not illegal, defamatory, offensive, or infringing upon the rights of third parties.

By adding Content to the Platform, the Client grants Minudoc a free, worldwide, and perpetual right to use, display, modify, and distribute this Content for the purpose of providing and marketing the Platform service.

Minudoc has the right, but not the obligation, to remove Content from the Platform that violates these Terms or is otherwise inappropriate.

Processing of Personal Data

Minudoc processes the Client's Personal Data in accordance with applicable data protection laws and the terms set out in the Privacy Notice.

During the provision of the Service, the HSP providing the Service is the controller of the Personal Data. Minudoc is the processor for such Personal Data and processes the data according to the agreement concluded with the HSP and based on the HSP's instructions.

Submitting Complaints

All complaints concerning the substantive quality, availability, or other terms of the Service Provision Agreement provided by the HSP must be submitted directly to the relevant HSP. The dispute between the Client and the HSP shall be resolved based on an agreement between them, and Minudoc will not participate in it.

Complaints related to the technical functioning of the Platform, payment mediation, or other matters related to the Agreement between Minudoc and the Client must be submitted to Minudoc's customer support at the email address provided in section 13 "Contact" of the Terms.

Liability

Minudoc offers the Platform only on an “as is” basis and is not responsible for any interruptions, connection errors, inability to use, or failures on the Platform. The foregoing does not limit the Client's right to claim compensation for damages or use other legal remedies provided by law if Minudoc violates these Terms.

Minudoc does not provide Services itself* and is not responsible for the content, quality, availability, or legality of the Services provided by HSPs. The Service Provision Agreement is concluded directly between the Client and the HSP, and the terms of the respective HSP apply to it.

Termination of the Agreement

The Client has the right to terminate the Agreement at any time by deleting their User Account.

Minudoc has the right to unilaterally terminate the Agreement or restrict the Client's access to the Platform if the Client significantly violates these Terms, uses the Platform for illegal purposes, or harms the rights of Minudoc or third parties.

Applicable Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with Estonian law, disregarding its conflict-of-laws rules.

Disputes arising from the Terms shall be attempted to be resolved through negotiations. If an agreement is not reached, the dispute shall be resolved in Harju County Court. If the Client is a natural person, they also have the right to turn to the court of their place of residence.

* For clarity, Minudoc is also an HSP itself, providing Services through the Platform. In such a case, Minudoc is responsible for the Services it provides in accordance with applicable law.
